Terms and Conditions
These Terms and Conditions (“Terms”) govern your use of www.purplecanvas.ca (the “Site”) and any services provided by Purple Canvas, operated by 17062893 Canada Inc (“we,” “us,” “our”).
By accessing the Site, submitting an inquiry, booking a consultation, or engaging our services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site or our services.
Using the Site
You agree that you will not use the Site or our services for any unlawful purpose or in a way that violates applicable laws (including copyright and intellectual property laws). You must not attempt to disrupt the Site, introduce malicious code, or interfere with security features.
We reserve the right to restrict or terminate access to the Site or services if we believe these Terms are being violated.
Services and Engagement
Purple Canvas provides marketing, branding, creative, and related consulting or implementation services. Most services begin with an inquiry and may require a written proposal, statement of work, or service agreement. Where a separate agreement exists, it will take priority over these Terms in the event of a conflict.
We may refuse an inquiry or engagement for valid business reasons.
Pricing and Availability
Service pricing, packages, and availability may change at any time without notice. Any quotes, estimates, or proposals are valid only for the period stated on the proposal (or, if not stated, for a reasonable period at our discretion).
Payments
If payment is required, payments are processed through Square or other secure third-party payment processors we may use from time to time. We do not store full payment card details.
If a payment fails, is reversed, or cannot be processed, we may pause or cancel the engagement until the account is brought current.
Client Responsibilities
To deliver services effectively, you agree to provide timely access to required information, materials, feedback, and approvals. Delays in providing these may impact timelines and deliverables, and we are not responsible for missed deadlines caused by delayed client input.
You confirm that any materials you provide to us (logos, photos, copy, designs, brand assets, etc.) are owned by you or properly licensed for your use.
Intellectual Property and Deliverables
Unless otherwise stated in a signed agreement:
- Upon full payment, you receive a license to use the final deliverables created specifically for you for your intended business purposes.
- We retain ownership of our underlying processes, templates, frameworks, methodologies, know-how, and any pre-existing tools used to create deliverables.
- Drafts, working files, and internal concepts may remain our property unless explicitly included as part of your package or agreement.
Portfolio Use
Unless you notify us in writing that you do not grant permission, you grant Purple Canvas a non-exclusive right to display completed work (including your name/logo and project outcomes) for portfolio, website, social media, and marketing purposes.

Third-Party Tools and Links
Our Site and services may reference or integrate third-party tools (for example: HubSpot, Google, Meta, LinkedIn, scheduling tools, plugins, or other platforms). Third-party links may direct you to websites not operated by us.
We are not responsible for third-party content, services, policies, or practices. Your use of third-party services is at your own risk and subject to their terms.
Comments, Submissions, and Feedback
If you submit ideas, feedback, suggestions, or other materials to us (whether through forms, email, or other channels), you agree we may use them to improve our services, without obligation to compensate you. We will not knowingly publish confidential client information without permission.
Accuracy of Site Information
We try to keep information on the Site accurate and current, but we do not guarantee that all content will always be complete, up to date, or error-free. The Site content is provided for general information only and should not be relied upon as professional advice.
We may update or change the Site at any time.
Prohibited Uses
You are prohibited from using the Site or its content:
- For any unlawful purpose
- To violate intellectual property rights (ours or others)
- To distribute malware, spam, or harmful code
- To scrape, crawl, or exploit Site data without permission
- To harass, abuse, defame, threaten, or discriminate
We may terminate your access for violating these rules.
Disclaimer of Warranties

Results from marketing and creative services can be influenced by many factors outside our control (platform changes, market shifts, client response times, ad budgets, third-party performance, etc.). For that reason, we do not guarantee specific outcomes unless explicitly stated in writing.
Limitation of Liability
To the fullest extent permitted by law, Purple Canvas and 17062893 Canada Inc will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or services, including lost profits, lost revenue, loss of data, or business interruption.
Our total liability for any claim relating to the Site or services will be limited to the amount you paid us for the specific services giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Purple Canvas and 17062893 Canada Inc from any claim, demand, or damages (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Site or services, or your violation of any law or third-party rights.
Termination
These Terms remain in effect unless terminated by you or by us. We may terminate or suspend access to the Site or services if we reasonably believe you have violated these Terms.
Any obligations and liabilities incurred before termination will survive termination.
Entire Agreement
These Terms, together with our Privacy Policy and any written agreement or statement of work you sign with us, form the entire agreement between you and Purple Canvas regarding the Site and services.
Governing Law
These Terms are governed by the laws of Canada, including applicable provincial laws, without regard to conflict of law principles.
Changes to These Terms
We may update these Terms from time to time. The most current version will always be posted on the Site. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
